Producer / License Type

Producer: War Horse Entertainment / Jason Esdale p.k.a. JON-CONNER.

License Type: Exclusive Beat License.

License Fee: $200.00 USD, paid in full before the license becomes effective.

License Grant / Ownership

The buyer receives an exclusive license to use the beat to create and exploit one new master recording. The Producer keeps ownership of the underlying beat, composition, and all rights not expressly granted.

Writer / Publishing Split

The agreement states a 50% writer’s share and 50% publishing share to the Producer, and a 50% writer’s share and 50% publishing share to the Licensee. Registration must be handled accurately with the applicable PRO/distributor/royalty systems.

Permitted Uses

• Digital and physical distribution of the new master recording
• Monetize streams, sales, downloads, and platform revenue
• Live performances
• Upload to video and social platforms
• One official music video

Not Included / Restrictions

• No sync rights for films, TV, commercials, games, or brand campaigns without a separate written agreement
• No reselling, sublicensing, gifting, leasing, or redistributing the beat by itself
• No claiming ownership of the beat apart from the new master recording
• No AI training, dataset use, stem-pack redistribution, sample-pack creation, or NFT/minting without separate written approval

Success Clause / Delivery

If the master recording exceeds 1,000,000 cumulative streams across major platforms, the Licensee must either pay an additional $1,000.00 USD success fee or renegotiate in good faith after Producer notice.

Delivery may include WAV, MP3, and/or stems if expressly included in the product listing.

Term / Liability / Law

The license is perpetual unless terminated for breach. Licensee is responsible for lyrics, vocals, samples, features, and clearances they add. Producer liability is limited to amounts paid, except where prohibited by law. Governing law is Tennessee.

Acceptance / Credit

Purchase, download, access, or use of the beat counts as electronic acceptance of the agreement. Producer credit should be given in customary places using “Produced by JON-CONNER” or “Prod. by JON-CONNER (War Horse Entertainment)”.
